Certified de-identification is the closing condition, so payment waits for it
In the Spirit sale agreement the $10M is paid only on delivery of de-identified data, and delivery requires an agent's certification to the CCPA standard (HIPAA for any health data) while preserving referential integrity; the debtors hired Tonic.ai as independent agent, which must file an affidavit with the court before the first and every later transfer, and the ombudsman (5 October 2026) asked each certification to state how many passengers were detected and de-identified. On that structure she recommended approval.
